Bylaws

ARTICLE I. – Organization Name

1. This organization shall be known as the High Desert Rovers of New Mexico. In these By-Laws the organization will be referred to as the Club.

ARTICLE II. – Period of Incorporation

1. The period of duration for this Club will be perpetual or until the event where the Executive Board and the general membership have a meeting and the majority votes to disband this organization.

ARTICLE III. – Affilitations

1. High Desert Rovers of New Mexico is a wholly independent entity. It is not legally associated or affiliated with any Land Rover dealership or other commercial enterprise.

2. No other entity, commercial or otherwise bears any responsibility, liability, or authority relative to Club operations and activities.

3. Club members are encouraged to support Land Rover dealerships and dealer activities, but may not represent themselves as representatives of the Club.

4. Land Rover dealers and employees are invited to join and participate with High Desert Rovers of New Mexico as individuals, and not as representatives of the dealership.

5. High Desert Rovers of New Mexico may promote cooperative relationships and/or activities with Land Rover dealerships, other commercial entities, or other groups with similar interests and concerns at the discretion of the Executive Board.

ARTICLE IV. – Principal Purposes

The principal purposes of the High Desert Rovers of New Mexico will be:

1. To foster and promote the interest of those individuals who find recreation and enjoyment in driving their Land Rover or other off-road vehicles in legal and authorized Off-Road Areas in New Mexico and the United States,

2. To bring together Land Rover and other off-road vehicle owners and those with an interest in off-road activities of this region for camaraderie in group activities,

3. To exchange information of special interest, develop off-road driving skills in a safe and legal manner, and

4. To act together toward the preservation of the wilderness character of our approved off-road areas and to provide guidance and education with regard to the Tread Lightly principles.

ARTICLE V. – Membership and Dues

1. Any individual who subscribes to the purposes and basic policies of the High Desert Rovers of New Mexico may become a member of the Club subject to the compliance with the provisions of the Articles of Incorporation. Membership in the Club shall be available to any Land Rover owner or other interested individual, without regard to race, color, creed, sex, or national origin. Membership in the Club shall entitle each member to participate fully in all Club functions and activities. Each family membership and individual membership will be allowed one vote. Only one newsletter per household will be mailed upon request to individuals who do not have e-mail access.

2. All members are expected to conduct themselves in a respectable and orderly fashion whether in or out of Club activities.

3. There shall be no consumption of alcoholic beverages during the driving portion of any scheduled event. Illicit substances are prohibited.

4. There shall be no illegal behavior during any Club-sponsored activity.

5. Applicants for membership must be at least eighteen years of age (exceptions may be made by decision of the Executive Board) and must hold a valid drivers license, and must show a minimum liability and property damage insurance coverage on their vehicles.

6. Members understand and accept the fact that off-road driving entails inherent risks. Participant members, their vehicle, and any occupants of the vehicle may be exposed to risk of injury or damage. Members understand that while there is no legal duty of the member to provide assistance to another member, that any such assistance rendered is done so without fear of legal repercussions or ramifications and accept the fact that as a member, they waive for themselves and for anyone else claiming through themselves, their right to sue High Desert Rovers of New Mexico, its officers, trip coordinators or leaders, or any fellow members for any injuries to his person or to other occupans of the member?s vehicle or damage to the member?s vehicle which may occur, in preparation for, or in transit to, or during a Club outing.

7. Only members in good standing shall be eligible to participate in Club activities, business meetings, or to serve in any of its elective or appointive positions.

8. The Executive Board will determine yearly membership dues for this organization. Dues shall be payable in advance. Club dues are non-refundable unless the member is asked to leave for violation of Club Articles of Incorporation. Any member whose dues are three months in arrears shall be dropped from the roles of this organization. Nothing herein contained shall prevent reinstatement of a delinquent membership upon payment in full of unpaid dues, plus a reinstatement fee of $20.00.

9. The Executive Board may choose to define membership types.

10. Members shall immediately notify the Secretary of any changes in their address, mailing address, or telephone number. Member information will be kept confidential with the Secretary having the only access to this information.

11. Resignation of any member shall be in writing and submitted to the Secretary.

12. The assets of the High Desert Rovers of New Mexico shall be at all times dedicated to the recreational purposes set out above, and none of the earnings shall inure in whole or in part to the benefit of any private individual, association, or corporation. If for any reason it becomes necessary to dissolve or liquidate the Club, the remaining assets of the Club, after its lawful obligations and all other requirements of the law are met and complied with, shall be transferred or conveyed to one or more corporations, societies, or organizations engaged in activities similar to those of the High Desert Rovers of New Mexico.

ARTICLE VI. – Organization Address and Agent

1. The registered office of the High Desert Rovers of New Mexico shall be located at 7304 Marilyn Ave NE, Albuquerque, NM 87109 or other such location designated by the Executive Board.

2. The registered agent of the High Desert Rovers of New Mexico shall be Jackie Brandenburg.

ARTICLE VII. – Officers and Their Election

1. The Club Officers to be elected shall be: President, Vice President, Secretary, and Treasurer. If the need arises for any other officer, any member can make the suggestion to be voted upon by the members present. The Officers shall be known as the Executive Board. It shall be their duty to draw up an agenda for all board and membership meetings.

2. Nominations and elections of the Club Officers shall take place in the October meeting of each calendar year. At each meeting of the membership, every member then entitled to vote may vote in person or by proxy. For family memberships only one vote per family.

3. Any Officer of the Club absent without good reason from two regularly scheduled meetings during his/her term of office shall be subjected to a vote of impeachment and removal from office by the general membership at the first meeting following the absences.

4. A vacancy occurring in an office shall be filled by election at the first meeting after the vacancy occurs.

5. A majority of votes cast is necessary for election to an office.

6. Any member of the Executive Board of the High Desert Rovers of New Mexico may be recalled by a majority vote of the membership.

ARTICLE VIII. – Duties of Officers

1. The President shall preside at all meetings of the Club at which he/she may be present, shall perform such duties as may be prescribed in these By-Laws or assigned to him/her by the Club in order that the purposes of the Club may be promoted. The President shall sign checks with the Treasurer for all expenditures.

2. The Vice President shall, in the absence of the President, serve in that capacity. He/she shall also serve as Parliamentarian and perform such other duties as may be assigned by the Executive Board.

3. The Secretary shall keep and preserve all records and minutes of the meetings of the regular membership and the Executive Board meetings, shall keep a file system of membership, and shall receive and answer all general correspondence pertaining to the organization. He/she shall sign checks with the Treasurer in the event the President and Treasurer are members of the same family.

4. The Treasurer shall keep accurate and complete records of the funds and accounts of this organization and shall collect all dues and maintain a record thereof. He/she shall make only such disbursements from the funds of the organization as are directed by the Executive Board and Article IX hereof.

a. The Treasurer shall provide financial statements at every meeting of the Club and at other times when requested by the general membership.

5. An officer of the Executive Board must give written notice that he/she wishes to vacate their position and they must stay in the elected office until a new officer for their position is elected.

ARTICLE IX. – Receipt and Disbursement of Funds

1. All monies received from all sources shall immediately be turned over to the Treasurer to be deposited in the checking account of the High Desert Rovers of New Mexico.

2. No withdrawal from funds shall be made without the approval of the Executive Board. All expenditures shall be made by check, and the item(s) for which each check is drawn shall be designated on the face in the ?memo? area for each expense. Receipts of expenditures shall be kept and filed for tax purposes for seven years.

ARTICLE X. – Committees and Delegates

1. If the need arises that a Special Committee or Delegate is needed for furthering the purpose of the Club, the Executive Board has the right to designate a Special Committee or Delegate to help further the Club?s interests. With the approval of the Executive Board each Special Committee shall be appointed a committee chairman that will report to the Executive Board.

2. The Executive Board has the right to abolish any Special Committee if the Committee no longer promotes the interests of the Club.

ARTICLE XI. – Rules and Procedures

1. Unless otherwise specified in these By-Laws, Robert?s Rule of Order Revised shall govern Parliamentary procedure.

ARTICLE XII. – Amendments

1. The By-Laws may be amended by a two-thirds majority vote by the regular membership at a regular club meeting, a quorum being present and voting. Any amendment to the By-Laws must be presented to the membership at the regular membership meeting preceding that in which the vote will be taken.

2. Ten members shall constitute a quorum for the transaction of business in meetings of the Club.

3. The regular Club meetings shall take place every third Tuesday of each month. The time and place of the meeting to be announced in the monthly newsletter. Any non-scheduled, special meetings will be announced 10 days prior to the meeting with all members being made aware of the special meeting.

ARTICLE XIII. – Club Seal

1. The seal of the Club shall contain the name of the High Desert Rovers of New Mexico and shall be as more particularly shown in the following impression:
